EPAM Advises French Group BRIAND in Its Acquisition of the Russian Subsidiary Astron From Swedish Lindab Group as Part of a Cross-Border M&A Transaction

EPAM represented French Groupe BRIAND in its acquisition of the Russian subsidiary Astron from Swedish Lindab Group as part of a cross-border transaction. Groupe BRIAND acquired from Lindab Group companies and assets in the Czech Republic, France, Germany, Hungary, Luxembourg, Poland and Russia.

The Russian transaction was key part of the international acquisition by Groupe BRIAND of Lindab Group. The legal support included obtaining clearance from the antimonopoly authority, due diligence of Russian subsidiary Astron, environmental law due diligence, preparation of a local share transfer agreement and closing the Russian part of the transaction.

EPAM successfully cleared the acquisition and contractual conditions of the acquisition within one filing and obtained clearance within 30 days. The FAS Russia issued unconditional clearance. The transaction was closed on December 28, 2021.

The team working on the project was lead by Partners Ilona Zekely and Anna Numerova and included Counsel Elena Agaeva, Senior Associates Ksenia Firsova, Anastasiya Boytsova and Yuri Nefedov, Associate Kirill Nagorsky, Junior Associates Arina Nikulushkina and Marina Petrova.

The Firm worked in close cooperation with French law firm FIDAL, the client’s global advisor in the project.
