PAM headlines €1.5bn Danone deal

Moscow leader EPAM has worked for a unit Danone on the €1.5bn merger of its CIS operations with Russian counterpart Unimilk.

The deal sees Danone Fresh Dairy Product businesses tie-up with Russia-based company Unimilk. The merger covers all the companies’ dairy products in Russia, Ukraine, Kazakhstan and Belarus. The combined entity will generate annual sales of approximately €1.5bn and employ over 18,000 workers.

Danone will control 57.5% interest in the new entity, while the current shareholders of Unimilk will hold 42.5%.

EPAM team acting on the Russian law aspects of the transaction with a team led by Arkady Krasnikhin (pictured) and Mikhail Kazantsev. The firm tapped into its CIS LCN network for local counsel while Freshfields Bruckhaus Deringer (Antoine Vignial) was international counse. Unimilk turned to White and Case for international advice and Burchills for Russian law matters.
