EPAM provided comprehensive legal support within a project, which was structured as a combination of asset and share deal and included transfer of shares in the Russian subsidiary of SAC to the buyer, BouMatic.
The transaction was implemented in the following jurisdictions: Denmark, Netherlands, France and Russia.
Russian part of the project included regulatory assessments, review of global business transfer agreement from perspective of local requirements, preparation of local share transfer agreements and closing Russian part of the deal.
The transaction was successfully closed in November, 2021.
The team working on the project was headed by Partner Ilona Zekely and included Counsel Elena Agaeva, Senior Associate Ksenia Firsova, Associates Alexandra Egorova and Kirill Nagorsky.
The Firm worked in close cooperation with Kromann Reumert, the client’s global advisor in the project.
