EPAM Acts as Legal Advisor to DynaEnergetics in Complex Project on Exiting its Russian Business

EPAM provided legal support to DynaEnergetics, a world leader in the manufacturing and selling of oilfield equipment, in a complex project on closing its plant and selling its subsidiary in the Tyumen region of Russia.

The Firm’s attorneys supported the client in working out strategies on exiting the client’s Russian business, including closing the plant and selling the subsidiary. The attorneys carried out a vendor due diligence of the client's assets and assisted the company in its interactions with potential buyers. The team analyzed and planned all the aspects of the M&A deal, including corporate, contractual, employment, real estate, IP and technology matters, customs and other regulatory issues. The work included closing hazardous production facilities and the termination of respective licenses.

The work on the project was carried out by attorneys from the Firm’s eight practices – M&A and Corporate, Employment and Migration Law, Tax, Real Estate and Construction, International Trade & Customs, Intellectual Property, Competition Law, Environmental and Technical Regulation – which helped to minimise the legal risks of the project’s implementation.
